1. Acceptance of Terms
By accessing or using Milya Scribe (AI Transcriber) and Milya Receptionist (AI Receptionist), products offered by Milya ("we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree with these terms, you must not use these services.
2. Description of Services
- Milya Scribe: An AI-powered transcriber designed for dental clinical note-taking.
- Milya Receptionist: A virtual receptionist AI handling patient interactions, including scheduling and inquiries.
3. Authorized Usage
You agree to use Milya Scribe and Milya Receptionist solely for lawful, professional purposes within your dental practice, in compliance with all applicable regulations and laws, including patient privacy and consent requirements.
4. User Obligations
You are responsible for:
- Ensuring informed patient consent for recording consultations and interactions.
- Reviewing and verifying all AI-generated content for accuracy.
- Maintaining confidentiality of patient information in accordance with applicable privacy laws.
5. Intellectual Property Rights
All rights, titles, and interests in Milya Scribe and Milya Receptionist, including their underlying software, technologies, and associated documentation, remain exclusively with Milya.
6. Data Privacy
Your use of Milya Scribe and Milya Receptionist is subject to Milya's Privacy Policy. By agreeing to these Terms, you acknowledge that you have read and agree to the terms outlined in our Privacy Policy.
7. Limitations of Liability
Milya is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from your use or inability to use Milya Scribe and Milya Receptionist, including inaccuracies in transcription or scheduling.
8. Indemnification
You agree to indemnify, defend, and hold harmless Milya, its affiliates, and employees from any claims, liabilities, damages, or expenses arising from your use of Milya Scribe and Milya Receptionist in violation of these Terms and Conditions.
9. Modification and Termination of Services
We reserve the right to modify or terminate access to Milya Scribe and Milya Receptionist at any time, with or without notice. We will not be liable for any disruptions or discontinuations of services.
10. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Quebec and Ontario, Canada.
11. Amendments to Terms and Conditions
We reserve the right to amend these Terms at any time. Continued use after amendments indicates your acceptance of the updated Terms.
12. SMS Messaging Terms of Service
12.1 Program Description
Milya Inc. operates an automated SMS notification service through Milya Receptionist on behalf of participating dental practices. This messaging program is strictly transactional in nature and may be used to send:
- Appointment confirmations;
- Appointment reminders;
- Scheduling updates;
- Appointment cancellation notices;
- Secure patient intake links; and
- Other healthcare-related service communications.
No marketing, promotional, advertising, or solicitation messages are sent through this SMS program.
12.2A User Opt-In and Consent
Patients may voluntarily opt in to receive SMS messages by verbally requesting and consenting to receive appointment-related text messages during an inbound telephone call with Milya Receptionist or through another legally authorized consent method approved by the participating dental practice. By providing consent, the patient authorizes Milya Inc. and the participating dental practice to send transactional SMS communications to the mobile number provided.
12.2B No Condition of Treatment
Consent to receive SMS messages is voluntary and is not a condition of receiving dental treatment, healthcare services, insurance benefits, or any other services from the participating dental practice.
12.3 Cost and Frequency
Message and data rates may apply according to your wireless carrier's pricing plan. Message frequency varies based on your interactions with the participating dental practice, appointment activity, and healthcare service needs. Milya Inc. does not charge recipients for receiving SMS messages; however, standard carrier charges may apply.
12.4 How to Opt Out
You may opt out of receiving SMS messages at any time by replying with STOP to any SMS message received from our system.
Upon receipt of a valid opt-out request, Milya will send a confirmation message indicating that your unsubscribe request has been processed. After opting out, you will no longer receive SMS messages from that specific messaging program unless you subsequently provide new consent or reply START to re-subscribe where supported.
12.5 Help and Support
For assistance, reply HELP to any SMS message received through the program. You may also contact us directly at: privacy@milya.ca Standard message and data rates may apply.
12.6 Carrier Liability
Mobile carriers, telecommunications providers, and wireless networks are not liable for delayed, failed, or undelivered messages. Message delivery depends on network availability, coverage, and technical factors outside the control of Milya Inc.
12.7 Privacy
The collection, use, disclosure, retention, and protection of personal information are governed by the Milya Privacy Policy, which forms an integral part of these Terms of Service.
12.8 Role of Milya
Milya acts as a technology service provider on behalf of participating dental practices. The participating dental practice remains responsible for obtaining any patient consents required by applicable law and for ensuring the accuracy of patient information supplied to Milya.
12.9 Changes to SMS Terms
Milya may modify these SMS Terms of Service from time to time to comply with legal, regulatory, operational, or industry requirements. Updated versions will be posted through appropriate channels and will become effective upon publication unless otherwise required by law.
